Mazghouny & Co advises Scatec on USD 221 million EBRD investment in renewable energy platform

Mazghouny & Co advises Scatec on structuring its renewable energy investment platform with EBRD in Egypt, backed by a commitment of up to USD 221 million

Mazghouny & Co, an Egyptian law firm specialising in energy, projects and infrastructure, has advised Scatec ASA on the Egyptian law aspects of its strategic partnership with the European Bank for Reconstruction and Development (EBRD) to establish a renewable energy investment platform, backed by an EBRD commitment of up to USD 221 million.

The platform, established through Egypt Renewables Holdings B.V. and owned 60% by Scatec and 40% by EBRD, was announced on 22 October 2026. It will support the acquisition, development and financing of renewable energy projects, initially in Egypt, with potential expansion across the southern and eastern Mediterranean region.

Its initial portfolio is expected to comprise approximately 2.7 GW of solar capacity, 900 MW of wind capacity and 4.2 GWh of battery energy storage, including Scatec’s Obelisk, Shadwan, Dandara and Energy Valley projects.

Mazghouny advised Scatec on the structuring of the investment platform from an Egyptian law perspective, taking into account the regulatory, contractual and corporate arrangements applicable to the underlying Egyptian projects. The firm’s mandate also included reviewing and assisting with the negotiation of the transaction documents on behalf of Scatec, as well as supporting the satisfaction of the relevant conditions precedent.

The investment supports the energy pillar of Egypt’s Nexus of Water, Food and Energy (NWFE) programme and represents a significant step in mobilising long-term institutional capital for large-scale renewable energy and storage infrastructure in Egypt.

Mazghouny team has a longstanding relationship with Scatec, advising on the development, financing and implementation of several of its landmark renewable energy projects in Egypt. The transaction further reflects the firm’s experience in renewable energy investments, complex project structures and cross-border transactions involving international developers and institutional investors.
